- Our services are intended for business customers and organizations that are legally registered and capable of entering into binding agreements. By using our services, you represent and warrant that: you are authorized to act on behalf of your organization; your use of the services complies with applicable laws and regulations; you will not use the services for unlawful or fraudulent purposes.
- 3. Account Registration
- To access certain services, you may be required to create an account. You agree that: all registration information provided is accurate and complete; you will maintain the confidentiality of your login credentials; you are responsible for all activities conducted under your account. We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.
- 4. Acceptable Use
- You agree to use our services only for lawful purposes and in accordance with these Terms. You must not use our services to: transmit illegal, fraudulent, or harmful communications; send spam or unauthorized bulk messaging; conduct phishing, scams, or deceptive practices; interfere with network operations or service security; violate telecommunications regulations in any jurisdiction. You are responsible for ensuring that your services and applications comply with all applicable telecommunications laws and regulations.
- 5. Telecommunications Compliance
- Due to the regulated nature of telecommunications services, you acknowledge that: telecommunications services may be subject to national regulatory requirements; certain destinations, services, or message types may be restricted; operators or regulators may impose limitations or service changes. You are responsible for ensuring that your use of our services complies with the regulations applicable to your business and end users.
- 6. Fees and Payment
- Where applicable, customers agree to pay all service fees in accordance with the applicable agreement, invoice, or pricing schedule. Unless otherwise agreed: fees are non-refundable once services have been provided; payments must be made within the specified billing period; failure to pay may result in suspension of services. All applicable taxes, duties, or regulatory surcharges are the responsibility of the customer unless otherwise stated.
- 7. Service Availability
- While we aim to provide reliable telecommunications services, we do not guarantee uninterrupted or error-free service. Service performance may be affected by factors outside our control, including: telecommunications carrier networks; internet connectivity issues; infrastructure maintenance; regulatory or operator restrictions. We will use reasonable efforts to maintain service availability and resolve technical issues.
- 8. Intellectual Property
- All intellectual property rights related to our platform, software, systems, and documentation remain the exclusive property of IVW or its licensors. You may not: copy, modify, or reverse engineer our systems; distribute or reproduce our proprietary software; create derivative products based on our platform. Except as expressly permitted under a separate written agreement.
- 9. Confidentiality
- Both parties agree to protect confidential information exchanged during the course of using our services. Confidential information includes but is not limited to: technical documentation; pricing and commercial terms; service configurations; platform access credentials. Confidential information must not be disclosed to third parties without prior written consent, unless required by law.
- 10. Limitation of Liability
- To the maximum extent permitted by law, IVW shall not be liable for: indirect or consequential damages; loss of business, revenue, or profits; service interruptions caused by third-party networks or operators. Our total liability arising out of the use of our services shall not exceed the total fees paid by the customer for the services during the six (6) months preceding the event giving rise to the claim.
- 11. Indemnification
- You agree to defend, indemnify, and hold harmless IVW, its affiliates, partners, and employees from any claims, damages, or liabilities arising from: your misuse of the services; violations of applicable laws or regulations; communications sent through your services or applications.
- 12. Force Majeure
- Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to: natural disasters; network failures; regulatory actions; war, civil unrest, or cyber attacks.
- 13. Changes to These Terms
- We may update these Terms from time to time to reflect changes in our services, legal requirements, or operational practices. The updated version will be published on this page with the revised effective date. Continued use of our website or services after such updates constitutes acceptance of the revised Terms.
- 14. Governing Law
- These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction in which the applicable Company entity providing the services is established. Any disputes arising from these Terms shall first be resolved through good-faith negotiations. If a resolution cannot be reached, the dispute may be submitted to the competent courts of the relevant jurisdiction.
